DexoTH Terms of Service

These Terms of Service ("Terms") are an agreement between you and Dexo TH Technology Co., Ltd. governing your use of the DexoTH platform at dexoth.com (the "Service"). By creating an account, clicking accept, or using the Service, you agree to these Terms. Acceptance given electronically is valid and binding under the Electronic Transactions Act B.E. 2544 (2001). If you accept on behalf of a company, you confirm you are authorized to bind that company.

11. Who we are

The Service is operated by Dexo TH Technology Co., Ltd. (บริษัท เด็กซ์โซ ทีเอช เทคโนโลยี จำกัด), registration no. 0205569040330, headquartered in Chonburi, Thailand ("DexoTH", "we", "us").

22. The Service

DexoTH is a multi-tenant Organization & People Capability platform: organization design, job descriptions, people records, recruitment, training and skill certification, discipline, performance, PDPA tooling and related modules.

Each client company uses the Service in its own workspace ("Tenant"). Modules may be included in your plan or offered as paid add-ons. We continually improve the Service; features may evolve, and material changes that reduce core functionality will be communicated in advance where reasonably possible.

33. Accounts and security

You must provide accurate account information and keep it current. You are responsible for keeping your login credentials confidential and for all activity under your account.

Notify us promptly of any suspected unauthorized access. Workspace administrators (Client Admins) are responsible for granting and revoking access for their own users in line with their company's policies.

44. Acceptable use

You agree to use the Service only lawfully and for its intended business purposes. You must not:

• upload unlawful content or data you have no right to process;

• attempt to gain unauthorized access to other Tenants, accounts, or our infrastructure;

• interfere with or disrupt the Service, or circumvent usage or security controls;

• reverse engineer, copy, resell, or build a competing service from the platform, except as permitted by law.

55. Customer Data and personal data protection (PDPA)

Data your company enters into its workspace — employee records, training records, documents and similar ("Customer Data") — belongs to your company. Your company (the Tenant) is the Data Controller of personal data in Customer Data under the Personal Data Protection Act B.E. 2562 (2019) ("PDPA"). DexoTH processes such data as Data Processor, only on the Controller's documented instructions and to operate the Service. A Data Processing Agreement is available on request.

For platform account data (your login name, email, security and billing records) DexoTH is the Data Controller — see the DexoTH Privacy Policy, which forms part of these Terms.

Each party will comply with the PDPA obligations that apply to its role. The Controller is responsible for the lawful basis, notices and consents required for the personal data it enters into its workspace.

66. Trials, fees and payment

Free trials are provided as-is for evaluation, for the stated trial period, and may be converted, extended, or closed at the end of the trial.

Paid subscriptions are invoiced per the agreed quotation or order. Fees are exclusive of applicable taxes and withholding. Invoices are payable within the stated payment term; we may suspend the Service for accounts materially overdue after reasonable notice.

77. Intellectual property

The Service — software, design, branding and documentation — is and remains the property of DexoTH. We grant your company a non-exclusive, non-transferable right to use the Service for its internal business during the subscription.

Customer Data remains your company's property. You grant us only the rights needed to host, process, back up, and display it in order to operate the Service.

88. Confidentiality

Each party will protect the other's non-public information with at least reasonable care, use it only to perform under these Terms, and not disclose it except as required by law.

99. Availability, support and data backup

We operate the Service with commercially reasonable skill and care, including managed hosting, encryption in transit, and routine backups. Planned maintenance is scheduled to minimize disruption where practicable.

The Service is provided "as is" to the maximum extent permitted by law; we do not warrant uninterrupted or error-free operation.

1010. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, or loss of profits or data, and DexoTH's total aggregate liability under these Terms is limited to the fees paid for the Service in the twelve (12) months before the event giving rise to the claim.

Nothing limits liability that cannot be limited under Thai law, including liability for willful misconduct or gross negligence.

1111. Suspension and termination

You may stop using the Service at any time; paid terms run to the end of the agreed period unless otherwise agreed. We may suspend or terminate access for material breach not cured within a reasonable period after notice, or where required by law.

On termination, your company may export its Customer Data for thirty (30) days, after which we may delete it from active systems, subject to legal retention duties and routine backup cycles.

1212. Changes to these Terms

We may update these Terms from time to time. The current version and its effective date are always published on the platform. For material changes we will ask you to re-accept at your next sign-in; continued use after the effective date constitutes acceptance.

1313. Governing law and disputes

These Terms are governed by the laws of the Kingdom of Thailand. Disputes that cannot be settled amicably are subject to the jurisdiction of the Thai courts.

If any provision is held unenforceable, the remainder stays in effect. The English and Thai versions are provided for convenience; in case of conflict, the Thai version prevails for mandatory-law matters.
